Terms of Service

1. Acceptance of Terms

By accessing or using Klipq ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. We reserve the right to modify these terms at any time, and your continued use of the Service constitutes acceptance of any modifications.

2. Description of Service

Klipq is a social commerce platform that helps TikTok Shop creators expand their reach across multiple platforms. The Service enables you to:

  • Import videos from your TikTok account and select content for cross-platform posting
  • Automatically detect products in your videos using AI and match them to Amazon affiliate listings
  • Publish your content to your connected Instagram, Facebook, YouTube, and Pinterest accounts
  • Deliver affiliate links to interested viewers via automatic direct messages on Instagram and comments on other platforms
  • Track performance and engagement across all connected platforms

The Service requires connection to third-party platforms via their official APIs and is subject to their respective terms of service and policies. Platform availability, features, and API access may change at any time based on third-party platform decisions.

3. User Accounts

To use our Service, you must:

  • Be at least 18 years old or have parental consent
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use
  • Have valid accounts on the third-party platforms you wish to connect

4. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload or distribute malicious code or content
  • Attempt to gain unauthorized access to our systems
  • Use the Service to spam or harass others
  • Violate the terms of service of any connected third-party platform, including Meta Platform Terms, YouTube API Services Terms of Service, TikTok Terms of Service, or Pinterest Developer Terms
  • Circumvent API rate limits, restrictions, or access controls imposed by any platform
  • Post misleading, deceptive, or fraudulent content through the Service
  • Use platform data obtained through the Service for surveillance, profiling, or discrimination
  • Sell, license, or redistribute any data obtained through connected platforms

5. Third-Party Platform Terms

Klipq integrates with third-party platforms through their official APIs. By using the Service, you acknowledge and agree that your use is also governed by the following third-party terms:

You are responsible for reviewing and complying with each platform's terms and policies. In the event of a conflict between these Terms and any third-party platform terms, the third-party platform terms shall take precedence with respect to your use of that platform.

6. Content Rights & Copyright

You retain ownership of all content you submit through the Service. By using our Service, you grant us a limited license to process, store, and transmit your content as necessary to provide the Service.

Content published through Klipq is uploaded directly to your own connected accounts on each platform. Klipq does not claim any ownership rights over your content.

You represent and warrant that you have all necessary rights to the content you submit, including the right to repost it across platforms, and that your use complies with applicable copyright laws and each platform's content policies. You must not use the Service to distribute content that infringes the intellectual property rights of any third party.

7. Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. Payments are non-refundable except as required by law or as described in our Refund Policy. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period. We reserve the right to change our pricing with 30 days' notice.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE ARE NOT RESPONSIBLE FOR THE ACTIONS, POLICIES, OR AVAILABILITY OF THIRD-PARTY PLATFORMS. KLIPQ IS NOT AFFILIATED WITH, ENDORSED BY, OR SPONSORED BY META, GOOGLE, TIKTOK, PINTEREST, OR AMAZON. PLATFORM AVAILABILITY AND FEATURES MAY CHANGE AT ANY TIME.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLIPQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITIES RESULTING FROM THIRD-PARTY PLATFORM CHANGES, API LIMITATIONS, OR SERVICE INTERRUPTIONS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

10. Termination

We may terminate or suspend your account at any time for violations of these terms, violations of any connected platform's terms, or for any other reason at our sole discretion. Upon termination, your right to use the Service will cease immediately.

Upon termination or account deletion, we will revoke all connected platform OAuth tokens and delete your stored data in accordance with our Privacy Policy. Provisions that by their nature should survive termination shall survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of competent jurisdiction.
